Terms of Service

These Terms of Service (the "Terms") govern access to and use of the BlockFlock website at blockflock.app and the product available through it (together, the "Service").

By creating an account you confirm that you have read these Terms and that you accept them. If you do not accept them, do not create an account and do not use the Service.

1. Who operates the Service

The Service is operated by BlockFlock ("BlockFlock", "we", "us", "our").

We answer written enquiries within 5 working days.

2. Definitions

Account is the record created when you register, identified by your email address and your Flock ID.

Flock ID is the public name that identifies you inside the Service. It is chosen at registration and cannot be changed afterwards.

Node, also called Flock Node, is the in-product representation of your participation, shown on your account dashboard.

Position is a place held by an account inside a block. An account holds a main position, P1, and, where the product rules allow it, up to two additional positions, P2 and P3, each with its own progress track.

Block is a group of six positions arranged as two positions above four, filled in a fixed order defined by the product rules.

Cycle is the sequence of states a position passes through inside a stage, according to the product rules in force at the time.

Stage is a level of the structure. Progress inside a stage follows the product's automatic rules. Moving to the next stage is a separate action taken by you.

Points are in-product units recorded against your account for activity such as completing daily tasks.

Wallet is the in-product screen that displays the units recorded against your account. It does not hold money, electronic money or cryptoassets, and it has no withdrawal function.

Referral link is a link containing a code that identifies the account that invited you.

Early access is the current phase of the Service, described in section 8.

3. Eligibility

You may use the Service only if all of the following are true.

  1. You are at least 18 years old and have legal capacity to enter into a contract.
  2. You are acting for yourself and not on behalf of another person.
  3. You are not resident in, and are not accessing the Service from, a country or territory subject to comprehensive sanctions imposed by the European Union, the United Nations, the United Kingdom or the United States. At the date of these Terms this includes Belarus, Cuba, Iran, North Korea, Russia, Syria, and the Crimea, Donetsk, Luhansk, Kherson and Zaporizhzhia regions of Ukraine.
  4. You are not named on any sanctions list maintained by the authorities listed above, and you are not acting for or on behalf of a person who is.
  5. You hold a valid referral link. Registration is not possible without one.

If you stop meeting any of these conditions, stop using the Service and close your account.

4. Registration, Flock ID and account security

To register you provide a Flock ID, an email address and a password. Use an email address that you control and keep it up to date.

Your Flock ID is public inside the Service and is permanent. Choose it carefully. You may not choose a Flock ID that impersonates another person, suggests an official connection with BlockFlock or its team, contains unlawful, offensive or misleading content, or is chosen in order to be resold. We may rename or block a Flock ID that breaches this paragraph.

You are responsible for keeping your password confidential and for all activity carried out through your account. Use a password that you do not use anywhere else. Write to security@blockflock.app without delay if you believe someone else has accessed your account.

One person may hold one account. Additional positions, where available, sit inside the same account and are not separate accounts.

5. What the Service is and what it is not

BlockFlock is a participation product. Positions, blocks, cycles, stages, points and every other unit shown inside the Service exist only inside the Service.

The following applies to every such unit.

  1. It has no monetary value.
  2. It is not money, electronic money, a payment instrument, a financial instrument, a security, a deposit, a cryptoasset or a claim of any kind against us or against any other participant.
  3. It cannot be sold, transferred, exchanged, redeemed, withdrawn or converted into money, cryptoassets or anything else of value, inside or outside the Service.
  4. It does not entitle you to any payment, payout, return, yield, dividend, profit share, income or reward of monetary value.

We do not offer, and nothing in the Service or in any material about it should be read as offering, an investment, an earning opportunity, a financial service or a financial return.

The Service does not accept payments from participants. Nothing inside it is sold to you and no entry fee, deposit or contribution of any kind is required. If paid features are introduced later, they will be governed by separate terms published before those features become available, and this section will be updated at the same time.

Progress inside the Service depends on the product rules and on the activity of other participants. We do not promise that you will reach any particular position, complete any cycle, advance to any stage or accumulate any number of points, and we do not promise any timeframe for any of these.

6. Referrals and how you may describe the Service

Registration requires a valid referral link. The referral code is recorded once against your account at registration and identifies the account that invited you. That record is permanent and cannot be reassigned.

No fee, commission, payment or reward of monetary value is offered for inviting other participants.

If you share your own referral link, you are responsible for how you describe the Service. You must not do any of the following.

  1. Describe BlockFlock as an investment, a business opportunity, a source of income or earnings, a deposit scheme or a financial product.
  2. Promise, guarantee, forecast or imply any financial result, payout, return or profit.
  3. State or imply that positions, points or any other in-product unit have monetary value or can be converted into money.
  4. Present yourself as an employee, agent, representative or spokesperson of BlockFlock.
  5. Send unsolicited bulk messages, post in places where such posts are not permitted, or run paid advertising mentioning BlockFlock without our prior written permission.
  6. Use our name, logo or product images in a way that suggests we endorse your material.

We may withdraw the ability to invite new participants from any account that breaches this section, and we may suspend or terminate that account under section 10.

7. Acceptable use

You must not do any of the following.

  1. Create more than one account, create an account on behalf of another person, or register using an identity or email address that is not yours.
  2. Buy, sell, rent, lend or otherwise transfer an account, a Flock ID or a position.
  3. Use bots, scripts, macros, emulators, automated agents or any other automated means to interact with the Service, to complete tasks or to influence the order in which positions are filled.
  4. Exploit a defect, error or gap in the product rules to obtain a position, points or any other advantage. If you find one, report it to security@blockflock.app and do not use it.
  5. Access the Service through methods we have not provided, including scraping, reverse engineering, decompiling or attempting to derive the source code, except where such a restriction is prohibited by applicable law.
  6. Carry out penetration testing, load testing or any other security testing without our prior written permission.
  7. Interfere with the operation of the Service, including by overloading it, disrupting it or circumventing any technical restriction, rate limit or geographic restriction.
  8. Upload, submit or transmit unlawful content, malware, or content that harasses, threatens or defames any person.
  9. Use the Service for any unlawful purpose, including money laundering, fraud or the financing of terrorism.

Where we find that units, positions or progress were obtained in breach of this section, we may correct or remove them.

8. Early access

The Service is in early access. This means the following.

  1. Features, product rules, cycle mechanics, stage structure and point calculations may be added, changed, suspended or removed at any time.
  2. The Service may be unavailable, may contain defects and may behave inconsistently. We do not offer a service level commitment and we do not guarantee availability, continuity or the accuracy of anything displayed.
  3. Data created during early access, including positions, cycle progress and point balances, may be reset in whole or in part before public launch. We will announce any planned reset through the Service and by email at least 7 days beforehand.
  4. We may end the early access phase, launch a different version of the Service, or discontinue the Service entirely.

9. Changes to these Terms

We may change these Terms, for example to reflect changes to the product, to our organisation or to applicable law.

Where a change materially affects your rights or obligations, we will tell you by email and through the Service at least 14 days before it takes effect, unless the change has to be made sooner to comply with the law or to address a security issue. Other changes take effect when the updated Terms are published.

If you do not accept a change, close your account before the change takes effect. Continuing to use the Service after that date means you accept the updated Terms.

Every published version carries a version number and a date. Earlier versions are available on request from legal@blockflock.app.

10. Suspension, termination and closing your account

You may close your account at any time using the delete account option in account settings, or by writing to support@blockflock.app from your registered email address.

We may suspend or terminate your account, restrict access to parts of the Service, or remove in-product units, in any of the following cases.

  1. You breach these Terms, and in particular sections 6 and 7.
  2. We are required to do so by law, by a court or by a competent authority.
  3. Your account shows signs of automated use, coordinated multi-accounting or manipulation of the order in which positions are filled.
  4. We discontinue the Service or the part of it that your account uses.

Where the law allows it, and where doing so does not compromise an investigation or the security of the Service, we will tell you the reason and, where the breach can be corrected, give you a reasonable opportunity to correct it. You can contest a suspension by writing to support@blockflock.app, and a person, not an automated system, will review the decision.

When an account is closed or terminated, access to the Service ends and any in-product units recorded against it cease to exist. Because those units have no monetary value, no compensation, refund or payment is due in connection with their loss. Deletion of your personal data is covered by the Privacy Policy.

11. Intellectual property

The Service, including the BlockFlock name, logo, interface, design, text, graphics and software, belongs to us or to our licensors and is protected by intellectual property law.

We grant you a personal, revocable, non-exclusive, non-transferable licence to access and use the Service for your own non-commercial participation, in accordance with these Terms. No other rights are granted.

You keep any rights you already hold in material you submit, including your Flock ID and anything you send us. By submitting it you grant us a worldwide, royalty-free licence to host, store, display and process that material to the extent necessary to operate the Service and to comply with the law. The licence ends when the material is deleted, except where we are required to keep it for legal reasons.

12. Third-party services

The Service relies on third parties for authentication and database hosting, for site hosting, for content delivery and for email delivery. They are named in section 7 of the Privacy Policy.

A Telegram integration is planned. When it is released, using it will also be subject to Telegram's own terms and privacy policy.

We are not responsible for third-party services we do not control. Links from the Service to other websites are provided for convenience and do not mean we endorse them.

13. Disclaimers

To the extent permitted by applicable law, the Service is provided on an "as is" and "as available" basis, without warranties of any kind, whether express or implied, including any implied warranty of merchantability, fitness for a particular purpose, accuracy or non-infringement.

Nothing in this section limits the rights you have as a consumer under mandatory law, including the law of your country of residence in the European Union.

14. Liability

Nothing in these Terms excludes or limits our liability for death or personal injury caused by our negligence, for fraud or fraudulent misrepresentation, or for any other liability that cannot be excluded or limited under applicable law.

Subject to the paragraph above, and to the extent permitted by law, we are not liable for indirect or consequential loss, loss of profit, loss of opportunity, loss of anticipated savings, or loss of data caused by anything other than our failure to take reasonable measures. Our total liability arising out of or in connection with the Service is limited to EUR 100.

Because the Service offers no financial return and its in-product units have no monetary value, no claim may be brought against us for the loss of value of any such unit.

15. Governing law and disputes

These Terms are governed by Spanish law, excluding its conflict of law rules. The courts of Spain have jurisdiction.

If you are a consumer resident in the European Union, this choice of law does not deprive you of the protection of mandatory provisions of the law of your country of residence, and you may bring proceedings in the courts of that country.

Before starting proceedings, write to legal@blockflock.app and we will try to resolve the matter directly. If you would prefer out-of-court resolution, the European Commission publishes a list of recognised dispute resolution bodies for each Member State at https://consumer-redress.ec.europa.eu/dispute-resolution-bodies.

16. General

If any provision of these Terms is found to be invalid or unenforceable, the rest remains in force.

If we do not enforce a provision immediately, that does not mean we give up the right to enforce it later.

You may not transfer your rights or obligations under these Terms. We may transfer ours to a company that takes over the Service, provided your rights are not reduced. You will be told before that happens.

These Terms, together with the Privacy Policy, form the whole agreement between you and us about the Service.

These Terms are published in English and in translation. In the event of a conflict between versions, the English version prevails, except where mandatory consumer law in your country of residence provides otherwise.
